Terms of Service /服務條款
These Terms govern your purchase and use of Soma Agent, a desktop AI companion application ("the Software") developed and sold by Waterman Sports International Co., Ltd. ("we", "us"). By purchasing or using the Software you agree to these Terms.
1. License
A perpetual (one-time purchase) license grants you a personal, non-exclusive, non-transferable right to install and activate the Software on the number of devices stated at purchase (Basic: 1 device; Advanced: 2 devices). The license does not expire.
Licenses are for individual use. You may move your license to a new device by deactivating the old device inside the app.
You may not resell, redistribute, sublicense, or share license keys, nor reverse-engineer or circumvent license verification.
2. Bring Your Own Key (BYOK)
Certain features require third-party AI or speech service credentials ("API keys") that you supply and pay for yourself. Your use of those services is governed by the respective providers' terms, and their usage fees are your responsibility.
Your API keys are stored locally on your device and are never transmitted to our servers.
3. Payments
Orders are processed by our merchant of record, Paddle, who handles checkout, billing, taxes (e.g. VAT/sales tax) and payment security. Prices shown at checkout are final and include applicable taxes where required.
4. Acceptable use & disclaimer
You agree not to use the Software for unlawful purposes. AI-generated content may be inaccurate; you are responsible for how you use it.
The Software is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability is limited to the amount you paid for the Software.
5. Changes
We may update these Terms; material changes will be posted on this page. Continued use after changes constitutes acceptance.
Purchase data — your email address and order details, processed by Paddle (merchant of record) and shared with us to issue and deliver your license key.
License activation data — a one-way hashed device identifier and license key, used solely to enforce device limits and validate licenses.
Transactional email — we send license keys and service notices via our email provider (Brevo) to the email you used at checkout.
2. What we do NOT collect
Your conversations with the AI, voice recordings, files, and API keys stay on your device. They are never sent to our servers.
We do not sell or rent personal data to third parties, and we do not use your data for advertising.
3. Processors
We rely on: Paddle (payments & tax), Brevo (transactional email), and cloud infrastructure providers hosting our license server. Each processes data only as needed to provide their service.
4. Retention & your rights
License records are kept for as long as your license is valid and as required for accounting. You may request access, correction, or deletion of your personal data by emailing support@soma-agent.com. Deleting license records will disable future activations of the associated key.

Refund Policy /退款政策
We offer a 14-day money-back guarantee on one-time purchase licenses. If Soma Agent doesn't work for you, contact us within 14 days of purchase for a full refund — no questionnaire required.
To request a refund, email support@soma-agent.com with your order number or license key, or contact Paddle via the receipt email. Refunds are issued to the original payment method by Paddle.
Refunded license keys are deactivated once the refund is processed.
Abuse (e.g. repeated purchase-refund cycles) may result in refusal of future service.
